1. NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement ("Agreement") is entered into on this ___ day of ____, 20, by and between:

Sidigiqor Technologies OPC Private Limited, a private limited company incorporated under the Companies Act, 2013, having its registered office at Panchkula, Haryana, India (hereinafter referred to as the "Disclosing Party"), and _______________, having its registered office at ______________________ (hereinafter referred to as the "Receiving Party").

Purpose: The parties wish to explore a potential business relationship involving the services of the Disclosing Party, such as Computer AMC Services, IT Infrastructure Development, Digital Marketing, Cybersecurity Consultancy, Website Development, and other technical support services. In connection with this, either party may disclose to the other certain confidential and proprietary information.

1. Definition of Confidential Information: "Confidential Information" shall include but is not limited to any technical, financial, business, or proprietary information, trade secrets, designs, source code, client data, operational processes, pricing structures, business plans, and other information disclosed in oral, written, or electronic form.

2. Obligations of Receiving Party:

  • Maintain all Confidential Information in strict confidence using the same degree of care as used for own confidential information.

  • Not disclose Confidential Information to any third party without prior written consent.

  • Use Confidential Information solely for evaluating or pursuing a business relationship.

3. Exceptions:

  • Information in the public domain

  • Information already known to the receiving party without breach

  • Information independently developed by the receiving party

4. Duration: This Agreement shall remain in force during the discussions and shall continue for a period of three (3) years after termination of the business relationship.

5. Return of Materials: Upon termination, all documents, records, and copies of Confidential Information shall be returned or destroyed.

6. Legal Remedies: The disclosing party shall be entitled to seek injunctive relief, compensation for damages, and other remedies available under law in the event of breach.
